Welcome to Skillbid — a platform operated by Rote Sonne Ventures GmbH, Flemingstraße 9, 10557 Berlin, Germany ("we", "us", or "Skillbid").

By accessing or using our website and services available at https://skillbid.io, you ("User", "you") agree to the following Terms and Conditions ("Terms"). Please read them carefully.

1. Scope of Service

Skillbid provides a digital platform for connecting individuals seeking advice ("Mentees") with experienced professionals ("Mentors"). Users may post questions, accept or decline bids, exchange video or written responses, and conduct live video calls. Skillbid facilitates the connection but does not provide mentoring services directly.

2. Registration & Accounts

To access most features, you must create an account using a valid email address or third-party login (e.g., Google, Facebook/Instagram, LinkedIn). You agree to provide accurate, complete, and updated information.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws.

3. User Roles

• Mentees may submit questions or book live calls.
• Mentors may respond with offers (bids), accept sessions, and deliver answers or meetings.

Mentors are independent providers and not employees or representatives of Skillbid. We do not guarantee specific outcomes or the accuracy of advice provided.

4. Payments

All payments are processed securely via Stripe. Mentees must fund the agreed fee in advance. Funds are released to Mentors only after the service (message or video call) is delivered.

Prices include applicable VAT unless stated otherwise. Skillbid may deduct a platform fee before forwarding funds to Mentors.

No refunds are granted once a service has been delivered, except in cases of technical failure or verified misconduct. Disputes can be reported to support@skillbid.io within 72 hours.

5. Video & Messaging

Video calls are facilitated via Daily.co and are not recorded. Skillbid assumes no responsibility for content exchanged during live or written sessions.

You agree not to:

• Share illegal, abusive, or harmful content
• Record sessions without mutual consent
• Violate confidentiality or intellectual property of others

6. Intellectual Property

All content on the platform, including branding, UI, and software, is owned by Rote Sonne Ventures GmbH or licensed appropriately. Users retain ownership of content they upload but grant us a non-exclusive license to display and transmit it as necessary to provide the service.

You may not copy, distribute, or reverse-engineer any part of the platform without written permission.

7. Acceptable Use

You agree to use Skillbid only for lawful purposes and in accordance with these Terms. Prohibited behavior includes:

• Impersonating others
• Harassment or exploitation
• Using bots or scraping tools
• Circumventing the platform's payment system

Violations may result in immediate account termination.

8. Disclaimers

• Skillbid does not vet the qualifications or advice of Mentors.
• We do not guarantee outcomes, availability, or suitability for your goals.
• The platform is provided "as is" and "as available".

We are not liable for errors, omissions, or any damages resulting from use of the platform.

9. Limitation of Liability

To the fullest extent permitted by law, Skillbid and its owners, directors, and affiliates are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or goodwill
• Technical issues or downtime

Total liability is limited to the amount you paid via the platform in the past 12 months.

11. Termination

You may delete your account at any time. We may suspend or terminate your access if you violate these Terms or misuse the platform.

Account data may be retained for legal or audit reasons in accordance with our Privacy Policy.

12. Changes to the Terms

We may update these Terms from time to time. You will be notified of major changes via email or on-platform notices. Continued use of Skillbid after updates means you accept the revised Terms.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Berlin, Germany.
